- Private Limited Company (KES 60,000) – There are companies that are owned by private individuals and whose shares are not publicly traded. The liability of the shareholders is limited to the amount they have invested in the company. They are required to have at least one ‘natural person’ as a director and at least one shareholder, with a maximum of 50 shareholders.
Get Started - Public Limited Companies (Kes 120,000) – A public company has share capital and limits the liability of each member to the amount unpaid on their shares. It is required to have a minimum share capital of KES 5 million, at least seven shareholders, and a board of directors with at least three members. Public companies do not have a minimum number of members.
Get Started - Companies Limited by Guarantee (Kes 120,000) – These are companies that are not for profit and do not have any share capital. This companies are owned by guarantors in pursuit of non-profit purpose such as, charitable trusts, foundations, sports clubs and the profit made are re-invested to help promote the non-profit objective of the company. A company limited by guarantee can have a minimum of two members to a maximum of over hundred members.
Get Started - Limited Liability Partnership (Kes 100,000) – These are partnerships where the liability of each partner is limited to the amount they have invested in the partnership. A LLP is required to have at least two partners, with no maximum limit.
Get Started - Registration of a Foreign Branch (Kes 150,000) – A Foreign Company is a Company registered in another country, under the laws of that country and given consent to trade in Kenya as a branch under the Companies Act; Section 975, no 17 of 2015. Trading in a different country doesn’t give the branch company freedom to govern itself or control its own affairs. It is governed by the constitution of the parent company.
